Acceptance of Terms

These Terms of Service ("Terms") are an agreement between you and the National Introducing Brokers Association ("NIBA," "we," "us," or "our") governing your use of the NIBA website, member portal, directories, job board, and related services (collectively, the "Services"). By accessing or using the Services, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Services.

Eligibility and Membership

NIBA membership is offered in several categories, including introducing broker, CTA/CPO, student, employee, FCM, and exchange memberships, each subject to its own eligibility requirements and fees as described on our membership page. Membership applications are subject to review and approval by NIBA. Members are expected to maintain good standing in the derivatives industry and to comply with all applicable laws and regulations, including the rules of the CFTC, NFA, and other relevant regulatory bodies. NIBA reserves the right to decline, suspend, or terminate any membership at its reasonable discretion, including for violation of these Terms.

You must be at least 18 years old to create an account or use the Services.

Accounts

You are responsible for the accuracy of the information in your account, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account. If you sign in using a third-party service such as Google, your use of that service is governed by its own terms. Where an organization account designates administrators, those administrators may manage the organization profile and approve or remove affiliated user accounts.

Fees, Payments, and Automatic Renewal

Fees for paid memberships, premium upgrades, and service provider directory listings are stated at the time of purchase and are billed in U.S. dollars. Payments are processed by Stripe, our third-party payment processor, and are subject to Stripe's terms. Where offered, payment by check is permitted; listings or benefits paid by check may remain pending until payment is received.

Automatic renewal. Unless you disable auto-renewal, paid annual memberships and directory listings renew automatically at the end of each subscription period, and the payment method on file will be charged the then-current rate. You may turn off auto-renewal at any time in your account settings or by contacting us; cancellation takes effect at the end of the current paid period, and you will retain your benefits until then.

Except where required by law, membership dues and listing fees are non-refundable. NIBA may change its fees prospectively; fee changes will not affect a period you have already paid for.

User Content and Listings

The Services allow you to submit content, including member profiles, organization information, service provider listings, job postings, logos, and messages sent through directory contact forms (collectively, "User Content"). You retain ownership of your User Content. By submitting User Content, you grant NIBA a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute it in connection with operating and promoting the Services.

You represent and agree that your User Content:

• Is accurate, current, and not misleading;
• Does not infringe the intellectual property or other rights of any third party;
• Complies with all applicable laws and regulations, including advertising and promotional rules applicable to derivatives industry participants; and
• Does not contain malicious code, spam, or unlawful, defamatory, or obscene material.

NIBA may, but is not obligated to, review User Content, and may remove or edit any listing, posting, or other User Content that violates these Terms, is inaccurate, or that NIBA reasonably considers harmful to the Services or its members. Job postings and directory listings are provided by their submitters; NIBA does not endorse, and is not responsible for, any listed company, job opportunity, or service provider.

Directories and Acceptable Use

The NIBA member directory and leadership contact information are provided exclusively for legitimate member-to-member professional networking. Use of any directory information for mass solicitation, spam, automated harvesting or scraping, resale, or any commercial purpose outside of legitimate networking is strictly prohibited. In addition, you agree not to:

• Use the Services in any way that violates applicable law or regulation;
• Impersonate any person or misrepresent your affiliation with any organization;
• Attempt to gain unauthorized access to the Services, other users' accounts, or our systems, or to probe, scan, or test their vulnerability;
• Interfere with or disrupt the operation of the Services; or
• Frame, mirror, or copy any part of the Services without our prior written consent.

Intellectual Property

The Services and all content provided by NIBA, including text, graphics, logos, the NIBA name and marks, journal articles, and NIBA Toolbox materials, are the property of NIBA or its licensors and are protected by applicable intellectual property laws. NIBA Toolbox and other member resources are made available for members' own professional and educational use; reproduction, distribution, or commercial use without NIBA's prior written permission is prohibited.

Third-Party Services and Links

The Services contain links to third-party websites, including sponsor and service provider sites, event registration platforms, and embedded third-party content. NIBA does not control and is not responsible for third-party websites or services, and linking does not imply endorsement. Your use of third-party services is at your own risk and subject to their terms.

Disclaimers

NIBA provides information, education, and networking resources for industry professionals. Nothing on the Services constitutes legal, financial, tax, regulatory, investment, or trading advice, or a recommendation of any product, strategy, or service. Trading futures and other derivatives involves substantial risk of loss and is not suitable for everyone. You should consult your own professional advisers before acting on any information obtained through the Services.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. NIBA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NIBA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND VOLUNTEERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, ANY USER CONTENT, OR ANY THIRD-PARTY CONDUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL NIBA'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE AMOUNTS YOU PAID TO NIBA IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE PAID NOTHING. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify and hold harmless NIBA and its officers, directors, employees, and volunteers from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Services, or your violation of these Terms or applicable law.

Termination

You may close your account at any time by contacting us. NIBA may suspend or terminate your account or access to the Services if you violate these Terms, fail to pay applicable fees, or where NIBA reasonably believes your conduct is harmful to NIBA or its members. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the "Last updated" date above. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
